terms of service AmeriPrep Solutions, LLC Affiliate Program Welcome to the AmeriPrep Solutions, LLC (“AmeriPrep”) Affiliate Agreement (“Agreement”). This Agreement sets forth the terms and conditions under which AmeriPrep makes the AmeriPrep Affiliate Program available to you. By becoming an Affiliate and using the Affiliate Program, you expressly agree to be bound by and follow all of the terms and conditions set forth in this Agreement. If you do not agree to be bound by this Agreement, your sole recourse is not to participate in the Affiliate Program. AmeriPrep reserves the right, without liability, to reject, omit or exclude any affiliate, webmaster or website for any reason at any time, with or without notice and regardless of any previous conditions. Definitions: Affiliate Program is our partnership program aimed to promote and distribute our software and services. Affiliate is a person or company participating in our Affiliate Program to distribute our software. Products are the software and services offered by AmeriPrep. The Program: Opening an Account. To become an Affiliate and have the right to participate in the Affiliate Program, you must enroll in the Affiliate Program by opening an Affiliate account (“Account”) with AmeriPrep through its online registration process. Your participation in the Affiliate Program is solely for this purpose: to legally advertise AmeriPrep’s website and software and receive a commission on sales generated by your referrals. By becoming an AmeriPrep Affiliate and using the Affiliate Program you expressly agree to be bound by and follow all terms and conditions set forth in this Agreement. If you do not agree to be bound by this Agreement, your sole recourse is not to participate in the Affiliate Program. AmeriPrep reserves the right to add, delete and/or modify any of the terms and conditions contained in this Agreement, at any time and in AmeriPrep’s sole discretion, by posting a change notice or a new agreement on the AmeriPrep web site. If any modification is unacceptable to you, your only recourse is to terminate this Agreement and your participation in the Affiliate Program. Your continued participation in the Affiliate Program following posting of a change notice or new agreement on the AmeriPrep web- site will constitute binding acceptance of the changes. AmeriPrep reserves the right to suspend or terminate you for any of the following reasons: Inappropriate advertisements (false claims, misleading hyperlinks), Spamming (mass email, mass newsgroup posting, etc.), Advertising on sites containing/promoting illegal activities, Violation of intellectual property rights (copying AmeriPrep material). Affiliate’s Acceptance of the Agreement. The Affiliate signifies its irrevocable acceptance of the Agreement upon the earlier of: (i) clicking on the “Sign Up for the Affiliate Program” button during the sign up process; (ii) by participating in the Affiliate Program; (iii) by linking or otherwise directing traffic to the AmeriPrep website; or (iv) logging on to the Affiliate account. If the Affiliate does not agree to be bound by the Agreement, then the Affiliate should not take any of the foregoing actions described in (i) through (iv) the Affiliate should not participate in the Affiliate Program. The Affiliate is not authorized to participate in the Affiliate Program or use any materials/actions described above without agreeing to be bound by the Agreement. Affiliate Payment. Affiliate will receive a commission of twenty percent (20%) of the final order total, per sale for the Products, for sending/referring to AmeriPrep an authorized referral that develops into a sale via Affiliate’s link. In order to place referrals via a link, Affiliate must first be AmeriPrep Solutions, LLC. Affiliate understands that the commission amount may be changed at any time. Affiliate is responsible for determining if the payout for a link you have placed on your site has changed or has been discontinued. Affiliate payments are made automatically on first day of the month or the first business day thereafter when your account balance reaches $100 or more for the previous months\ transactions. Any money credited to your account does not accrue any interest. All payments are sent to you via PayPal. A PayPal account is required. AmeriPrep will not send a check, money order, or any other means of payment. AmeriPrep reserves the right not to pay on any suspicious orders or funds AmeriPrep believes may be fraud related. AmeriPrep holds the right to keep any affiliate funds that are not paid out (claimed via your PayPal account) after 6-months Use. By using the AmeriPrep Affiliate Program, the Affiliate warrants that: · The Affiliate is eighteen (18) years of age and that there is no legal reason that the Affiliate cannot enter into a binding agreement. · The Affiliate is the owner or is licensed to use the entire contents contained on the approved website. · The website and/or newsletter do not violate any law or regulation. · The website and/or newsletter do not contain misrepresentation or content that is defamatory or violates any rights of privacy or publicity. · The website and/or newsletter do not and will not infringe any copyright, trademark, patent or other proprietary right. · The Affiliate can place AmeriPrep’s banners anywhere on the Affiliate website as Affiliate sees fit, or within non-spam emails. · The Affiliate’s failure to abide by these rules could mean termination from the Affiliate Program. · Fraud is a serious criminal offense, and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales or click-throughs using robots, scripts or manually “refreshing” of pages for the sole purpose of creating commissions. Non-Use: By using the Ameriprep Affiliate Program, the Affiliate warrants it will not: · Use banners or links, such as newsgroups, chat rooms, message boards, banner networks, counters, or guest books, etc. Promotional Materials. AmeriPrep shall make available to the Affiliate certain banner advertisements, button links, text links, and/or other graphic or textual material for display and use on the Affiliate website the “Promotional Materials”). The Affiliate shall display the Promotional Materials on Affiliate’s website prominently and as Affiliate sees fit, provided that the manner of display shall be subject to the terms and conditions of this Agreement. Affiliate shall also a link from the Promotional Materials to AmeriPrep’s website, as specified by AmeriPrep. Use of Promotional Materials. The Affiliate’s use and display of the Promotional Materials on the Affiliate’ site shall conform to the following terms, conditions and specifications: · Affiliate may not use any graphic, textual or other materials to promote AmeriPrep’s website, Products or services other than the Promotional Materials, unless AmeriPrep agrees to such other materials in writing prior to their display. · Affiliate may only use the Promotional Materials for the purpose of promoting AmeriPrep’s website (and the Products and services available thereon), and for linking to AmeriPrep’s website. · The Promotional Materials will be used to link only to AmeriPrep’s website, to the specific page and address as specified. · Affiliate will not alter, add to, subtract from, or otherwise modify the Promotional Materials as AmeriPrep prepares them. If Affiliate wishes to alter or otherwise modify the Promotional Materials, Affiliate must obtain prior written consent from AmeriPrep for such alteration or modification. License. AmeriPrep hereby grants to Affiliate a nonexclusive, nontransferable license (the “License”) to use the Promotional Materials as specified under the terms and conditions of this Agreement. The term of the License shall expire upon the expiration or termination of this Agreement. Intellectual Property: AmeriPrep retains all right, ownership, and interest in the Promotional Materials, and in any copyright, trademark or other intellectual property in the Promotional Materials. Nothing in this Agreement shall be construed to grant Affiliate any rights, ownership or interest in the Promotional Materials or in the underlying intellectual property, other that the rights to use the Promotional Materials granted under the License above. Relationship of the Parties: This Agreement shall not be construed to create any employment relationship, agency relationship or partnership between AmeriPrep and Affiliate. Affiliate shall provide services for AmeriPrep as an independent contractor. Affiliate shall have no authority to bind AmeriPrep into any agreement, nor shall Affiliate be considered to be an agent of AmeriPrep in any respect. Indemnification: Affiliate shall indemnify, defend and hold harmless AmeriPrep, their officers, directors, employees and agents from and against any and all claims, losses, damages, penalties, lawsuits, actions, liabilities, complaints, or other costs arising out of any breach of Affiliate to the extent caused by any acts or omissions of Affiliate, Affiliate’s employees in the performance under this Agreement or breach of any term, covenant or obligation of Affiliate. Confidentiality: Any information that Affiliate is exposed to by virtue of its relationship with Ameriprep under this Agreement, which information is not available to the general public, shall be considered to be “AmeriPrep Confidential Information.” Affiliate may not disclose any AmeriPrep Confidential Information to any person or entity, except where compelled by law, unless Affiliate obtains prior written consent for such disclosure from AmeriPrep. Term: This Agreement shall take effect upon acceptance of the Agreement, and shall remain in full force and effect indefinitely or until terminated pursuant to this section. Either party shall have the right to terminate this Agreement at any time and for any cause. The terminating party must give written notice to the other party at least thirty (30) days prior to the intended termination date. CAN-SPAM Act. Affiliate using online or other electric methods of sales channels must comply with the 2003 CAN-SPAN Act. Affiliate agrees that AmeriPrep may terminate the Affiliate from the Affiliate Program if the rules of the aforementioned Act are not followed. Taxes: AmeriPrep Solutions, LLC shall not be responsible for any taxes owed by Affiliate arising from the Affiliate’s relationship with AmeriPrep as set forth in this Agreement. AmeriPrep shall not withhold any taxes from the Commissions paid to Affiliate. AmeriPrep Solutions, LLC requires Affiliate to provide Internal Revenue Service Form W-9 before making the first commission payment. By submitting a W-9, Affiliate certifies that the tax id number provided is correct and accurate and that Affiliate is not subject to backup withholding. Limitation of Liability: AmeriPrep Solutions, LLC shall not be liable for any loss of profits or costs, or for any direct, indirect, special, incidental or consequential damages, including costs associated with the procurement of substitute goods or services (whether AmeriPrep Solutions, LLC was or should have been aware or advised of the possibility of such damage), arising out of or associated with any loss, suspension or interruption of service, termination of this Agreement, use or misuse of the Promotional Materials, or other services under this Agreement. Governing Law: This Agreement shall be construed in accordance with, and governed in all respects by, the laws of the State of Michigan, without regard to conflicts of law principles. Severability: If any part or parts of the Agreement shall be held unenforceable for any reason, the remainder of this Agreement shall continue in full force and effect. If any provision of this Agreement is deemed invalid or unenforceable by any court of competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited. Notice. Any notice required or otherwise given pursuant to this Agreement shall be in writing and mailed certified return receipt requested, postage prepaid, or delivered by overnight delivery service, addressed as follows: AmeriPrep Solutions LLC, P.O. Box 34, Ada, Michigan 49301. Headings: The headings for each section herein are for convenience only and shall not affect the meaning of the provisions of this Agreement. Entire Agreement: This Agreement constitutes the entire agreement between AmeriPrep Solutions, LLC and Affiliate, and supersedes any prior understanding or representation of any kind preceding the date of this Agreement. There are no promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement. I agree with the terms of service
